These Terms of Service ("Terms") form a legally binding agreement between you, whether acting personally or on behalf of an entity ("you"), and Augmented Labs Inc. ("Augmented Labs," "Company," "we," "us," or "our") regarding your access to and use of https://augmentedlabs.ai and any related website, media channel, mobile website, mobile application, or other online property that links to these Terms (collectively, the "Site").
By accessing or using the Site, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree with these Terms, you must not use the Site and should discontinue use immediately.
Additional terms, policies, notices, or other documents posted on the Site from time to time may apply to particular features or activities and are incorporated into these Terms by reference where stated. We may revise these Terms at any time. Any revision will be reflected by updating the "Last updated" date above. Unless applicable law requires otherwise, no separate notice of each change is required.
You are responsible for reviewing the Terms that apply when you use the Site. Continued use of the Site after revised Terms are posted constitutes acceptance of the revised Terms.
The information on the Site is not intended for distribution to, or use by, any person or entity in any jurisdiction where that distribution or use would be contrary to law or would subject us to a registration or other requirement. Persons who access the Site from other locations do so on their own initiative and are responsible for compliance with applicable local laws.
The Site is intended for users who are at least 13 years old. Users who are minors where they reside must have the permission and direct supervision of a parent or legal guardian. A parent or legal guardian should review and agree to these Terms before a minor uses the Site.
Unless otherwise indicated, the Site and its source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and other materials (collectively, the "Content"), together with the trademarks, service marks, trade names, and logos displayed on the Site (the "Marks"), are owned by, controlled by, or licensed to Augmented Labs and are protected by applicable copyright, trademark, intellectual property, and unfair competition laws and international conventions.
The Content and Marks are made available through the Site for your information and permitted use. Except as expressly allowed by these Terms, no part of the Site, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or commercially exploited without our prior written permission.
If you are eligible to use the Site, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and to download or print portions of the Content to which you have properly obtained access for your personal or internal informational use. All rights not expressly granted are reserved by Augmented Labs.

Customers are responsible for ensuring that their use of the Services complies with all laws, regulations, professional obligations, internal policies, and industry-specific requirements applicable to their organization and intended use.
Where appropriate, Augmented Labs may provide additional contractual, technical, security, privacy, or compliance terms for particular industries, jurisdictions, or use cases.
You may use the Site only for purposes for which we make it available. Unless we specifically authorize otherwise in writing, you must not use the Site in connection with a commercial activity that is unrelated to the purpose of the Site. In particular, you agree not to:
The Site does not generally operate as a public content-posting platform. We may, however, provide functionality that allows you to create, submit, post, display, transmit, publish, distribute, or otherwise provide content or materials to us or through the Site, including text, writings, video, audio, photographs, graphics, comments, suggestions, personal information, or other materials (collectively, "Contributions"). Contributions may in some cases be viewable by other users or through third-party services.

You remain solely responsible for your Contributions. To the fullest extent permitted by law, Augmented Labs is not responsible for statements or representations contained in Contributions you provide, and you agree not to assert a claim against Augmented Labs based solely on content that you supplied through the Site.
We may access, store, process, and use information and personal data that you provide in accordance with our Privacy Policy and the choices or settings made available to you.
If you submit suggestions, recommendations, or other feedback about the Site, you agree that we may use and share that feedback for lawful purposes without compensation to you.
Except for rights expressly granted under these Terms, we do not claim ownership of your Contributions. You retain ownership of your Contributions and associated intellectual property rights. You are solely responsible for your Contributions and for statements or representations you make through them, and, to the fullest extent permitted by law, Augmented Labs is not liable for those statements or representations merely because they appear on or through the Site.
Except for Customer Data, Confidential Information, or other information governed by a separate written agreement with Augmented Labs, any questions, comments, suggestions, ideas, feedback, or other information about the Site that you voluntarily provide to us ("Submissions") will be treated as non-confidential. To the fullest extent permitted by law, you assign to Augmented Labs all rights, title, and interest you may have in those Submissions, including associated intellectual property rights, so that we may use, reproduce, modify, adapt, publish, distribute, commercialize, and otherwise exploit them for any lawful purpose without acknowledgement or compensation.
You represent that you have the right to provide your Submissions. To the extent permitted by applicable law, you waive any moral rights or similar rights in the Submissions and agree that our authorized use of them will not give rise to a claim for infringement or misappropriation against Augmented Labs.
The Site may contain links to websites operated by third parties ("Third-Party Websites") and may display or make available articles, text, graphics, images, audio, video, software, applications, information, or other items originating from third parties ("Third-Party Content").
We do not control, investigate, monitor, or guarantee Third-Party Websites or Third-Party Content and are not responsible for their accuracy, appropriateness, completeness, availability, privacy practices, policies, products, or services.
A link to or inclusion of Third-Party Websites or Third-Party Content does not constitute our endorsement. If you leave the Site or use Third-Party Websites or Third-Party Content, you do so at your own risk and should review the terms and privacy policies that apply to those third parties.
Any transaction with a third party is solely between you and that third party. To the fullest extent permitted by law, Augmented Labs is not responsible for losses or harm arising from your dealings with third parties or your use of Third-Party Websites or Third-Party Content.
We reserve the right, but do not assume the obligation, to monitor the Site for violations of these Terms; take appropriate legal action against conduct that we believe violates law or these Terms; refuse, restrict, limit, or disable access to Contributions or other content where appropriate; remove or disable files or content that place an unreasonable burden on our systems; and otherwise administer the Site in a manner intended to protect our rights, property, users, and the proper operation of the Site.
We care about privacy and data security. Please review the Augmented Labs Privacy Policy available on the Site. By using the Site, you acknowledge that our Privacy Policy applies to the collection, use, and handling of personal information as described in that policy.
If you access the Site from a jurisdiction with privacy or data-protection requirements that differ from those applicable to Augmented Labs, you are responsible for understanding any requirements that apply to your use. We do not knowingly request or solicit personal information from children in a manner prohibited by applicable law.
We respect the intellectual property rights of others. If you believe material available on or through the Site infringes a copyright that you own or control, please notify us using the contact information in Section 24. Your notice should contain enough information for us to identify the material and assess the claim.
You may be responsible for consequences arising from material misrepresentations in an infringement notice. If you are uncertain whether material infringes your rights, you should consider obtaining legal advice before submitting a notice.
These Terms remain in effect while you use the Site. To the fullest extent permitted by law, and without limiting any other provision of these Terms, Augmented Labs may, in its discretion and without prior notice or liability, deny, restrict, suspend, or terminate access to or use of the Site, including by blocking certain IP addresses, for any lawful reason, including a breach of these Terms, a violation of applicable law, misuse of the Site, or conduct that may harm Augmented Labs, the Site, or another person.
To the fullest extent permitted by law, we may also remove or delete content or information that you submit to the Site at any time, subject to any rights or obligations contained in a separate written agreement with Augmented Labs.
If your account or access is terminated or suspended, you must not attempt to circumvent the restriction by creating or using another account under a false, borrowed, or third-party identity. We reserve all rights and remedies available to us, including civil, criminal, and injunctive remedies where appropriate.
We may change, modify, update, remove, suspend, or discontinue Site content or all or part of the Site at any time, including changes to pricing or availability where applicable. Unless a separate written agreement or applicable law states otherwise, we have no obligation to maintain, support, correct, update, or continue any particular Site feature or information, and we will not be liable to you or a third party solely because of such a modification, price change, suspension, or discontinuance.
The Site may be unavailable from time to time because of maintenance, hardware or software issues, network failures, third-party outages, updates, or other circumstances. We cannot guarantee continuous availability. To the fullest extent permitted by law, we are not liable for loss, damage, or inconvenience arising solely from an inability to access or use the Site during downtime, interruption, delay, error, suspension, or discontinuance.
These Terms and your use of the Site are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
To help resolve disputes efficiently and control costs, any dispute, controversy, or claim arising out of or relating to these Terms or the Site (each a "Dispute") should first be addressed through good-faith informal negotiations between you and Augmented Labs for at least thirty (30) days after one party gives written notice of the Dispute to the other.
If a Dispute is not resolved through informal negotiations, and no separate written agreement between the parties provides a different dispute-resolution procedure, the Dispute may be brought exclusively before the courts located in Toronto, Ontario, Canada, and each party irrevocably submits to the jurisdiction of those courts and any courts having appellate jurisdiction over them.
The requirement for informal negotiations does not prevent either party from seeking urgent injunctive or equitable relief, nor does it apply to proceedings primarily seeking to enforce or protect intellectual property rights, address theft or unauthorized use, or protect privacy, confidential information, systems, or security.
Information on the Site may occasionally contain typographical errors, inaccuracies, or omissions, including information relating to descriptions, pricing, availability, or other matters. We reserve the right to correct errors, inaccuracies, or omissions and to change or update information on the Site at any time without prior notice, subject to applicable law.
THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SITE AND ANY SERVICES MADE AVAILABLE THROUGH IT IS AT YOUR OWN RISK. WE DO NOT WARRANT OR REPRESENT THAT SITE CONTENT IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT RESPONSIBLE FOR ERRORS OR INACCURACIES IN CONTENT; PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM ACCESS TO OR USE OF THE SITE; UNAUTHORIZED ACCESS TO OR USE OF SERVERS OR INFORMATION STORED THROUGH THE SITE; INTERRUPTIONS IN TRANSMISSION; MALICIOUS CODE TRANSMITTED BY THIRD PARTIES; OR LOSS OR DAMAGE RESULTING FROM CONTENT MADE AVAILABLE THROUGH THE SITE.

TRANSACTIONS WITH THIRD-PARTY PROVIDERS ARE BETWEEN YOU AND THE APPLICABLE THIRD PARTY, AND YOU SHOULD USE APPROPRIATE JUDGMENT AND CAUTION.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AUGMENTED LABS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR SIMILAR DAMAGES ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Augmented Labs, its subsidiaries and affiliates, and their respective directors, officers, employees, contractors, agents, and representatives from and against third-party claims, liabilities, losses, damages, demands, and reasonable legal fees and expenses arising out of or relating to:
We may, at your expense where permitted by law, assume control of the defence of a matter for which you are required to indemnify us. You agree to reasonably cooperate with the defence of such claims. We will use reasonable efforts to notify you of a claim subject to indemnification after becoming aware of it.
We may maintain certain data that you transmit to the Site for purposes of operating and managing the Site and assessing its performance, together with information relating to your use of the Site. We may perform routine backups, but no backup process is guaranteed to preserve every item of data.
Unless a separate written agreement with Augmented Labs provides otherwise, you are solely responsible for data you transmit to the Site and for maintaining copies or backups appropriate to your needs. To the fullest extent permitted by law, Augmented Labs has no liability for loss or corruption of such data, and you waive claims against Augmented Labs arising solely from that loss or corruption, except to the extent a right or liability cannot lawfully be waived or limited.
Visiting the Site, sending us email, and completing online forms are electronic communications. You consent to receive communications electronically and agree that agreements, notices, disclosures, and other communications provided electronically may satisfy legal requirements that such communications be in writing, to the extent permitted by applicable law.
You agree to the use of electronic signatures, contracts, orders, records, and electronic delivery of notices, policies, and transaction records where such use is permitted by applicable law.
To the fullest extent permitted by applicable law, you waive requirements that would otherwise require an original handwritten signature, delivery or retention of paper records, or completion of a transaction through non-electronic means, except where such requirements cannot lawfully be waived.
These Terms, together with any policies or operating rules posted by us on the Site and expressly incorporated into these Terms, constitute the entire agreement between you and Augmented Labs regarding the Site, except where a separate written agreement governs a particular service or customer relationship.
Our failure to exercise or enforce a right or provision of these Terms does not waive that right or provision. We may assign our rights and obligations under these Terms in connection with a corporate reorganization, financing, merger, acquisition, sale of assets, or other transaction, or as otherwise permitted by law.
We are not responsible for delay, loss, damage, or failure to perform caused by events beyond our reasonable control. If any provision or part of a provision of these Terms is held unlawful, void, or unenforceable, that provision will be severed or limited to the minimum extent necessary, and the remaining provisions will remain in effect.
Nothing in these Terms creates a joint venture, partnership, employment, fiduciary, or agency relationship between you and Augmented Labs. These Terms will not be interpreted against a party merely because that party drafted or proposed them. The electronic form of these Terms does not affect their enforceability.
